Board Secretary

Our boardVivian's Victory board is in an exciting period of growth. The person interested in working with our nonprofit has to be forward thinking, and eager to roll up their sleeves to work to be a part of the growth of the organization. We have a "grass-roots" still while we are experiencing growth.
PositionSecretary: The secretary shall be responsible for keeping records of board actions, including overseeing the taking of minutes at all board meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each board member, and assuring that corporate records are maintained. Other duties performed by the secretary include the following: Attend all board meetings. Serve on the executive committee. Maintain all board records and ensure their accuracy and safety. Review board minutes. Assume responsibilities of the chair in the absence of the board chair, chair-elect, and vice chair. Provide notice of meetings of the board and/or of a committee when such notice is required.

RequirementsThe Vivian’s Victory Board of Directors: Determines long and short-range objectives and goals directly related to the VV’s mission. Recruits and develops volunteers for committees and identifies potential board members. Participates in planning, organization and running on-site events and programs. Evaluates the executive staff, programs, activities and overall progress in advancing the VV’s mission. Advocacy: Understand and personalize the VV’s mission. Be familiar with all aspects of VV’s programs, projects, and operations. Use personal contacts to increase the VV’s visibility, volunteer involvement, and support. Financial and Partnership Development: Approve the annual budget developed by VV and finance committee. Identify and develop potential VV donors. Recruit VV event and activity sponsors. Secure charitable contributions from the business you work for or a business with which you have an affiliation. Use personal and business contacts to gain financial and in-kind support. Make a meaningful, personal annual financial contribution to VV. Commitment of Time: Prepare for and attend board meetings on alternating month (odd months) Prepare for and attend committee meetings on alternating months as necessary (even months). Actively participate on at least one committee and contribute to the accomplishment of agreed upon objectives. Help recruit the necessary volunteers to achieve the committee’s goals. Attend committee meetings as scheduled by the committee chair. Attend annual VV events and fundraisers.
Additional InfoVivian’s VictoryMember of Board of Directors, Board DescriptionMission: The mission of Vivian’s Victory is to provide practical and emotional support to families who have a child 0-18 with a life-limiting or life-altering diagnosis by bridging gaps, building community and bringing hope. Position: The Board will support the work of Vivian’s Victory governance.  While day-to-day operations are led by Founder & CEO, the Board-CEO relationship is a partnership, and the appropriate involvement of the Board is both critical and expected. Specific Board Member responsibilities include: Responsibilities: Serving as a trusted advisor to the ED as s/he develops and implements Vivian’s Victory strategic plan Reviewing outcomes and metrics created by Vivian’s Victory for evaluating its impact, and regularly measuring its performance and effectiveness using those metrics; reviewing agenda and supporting materials prior to board and committee meetings Approving Vivian’s Victory’s annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities Contributing to an annual performance evaluation of the CEO Assisting the CEO and board chair in identifying and recruiting other Board Members Partnering with the CEO and other board members to ensure that board resolutions are carried out Serving on committees or task forces and taking on special assignments Representing Vivian’s Victory to stakeholders; acting as an ambassador for the organization Ensuring Vivian’s Victory’s commitment to a diverse board and staff that reflects the communities Vivian’s Victory serves FundraisingVivian’s Victory Board of Directors will consider Vivian’s Victory a philanthropic priority and make annual gifts that reflect that priority. So that Vivian’s Victory can credibly solicit contributions from foundations, organizations, and individuals, Vivian’s Victory expects to have 100 percent of board members make an annual contribution that is commensurate with their capacity. Board terms/participationVivian’s Victory’s Board of Directors will serve a three-year term to be eligible for re-appointment for one additional term. Board meetings will be held quarterly and committee meetings will be held on rotating months with board committee meetings.Skills and Qualifications: This is an extraordinary opportunity for an individual who is passionate about Vivian’s Victory’s mission and who has a track record of board leadership. Selected board members will have achieved leadership stature in business, government, philanthropy, or the nonprofit sector. His/her accomplishments will allow him/her to attract other well-qualified, high-performing board members.
