Board Secretary

Our boardAs a partner and collaborator with the chair of the board of directors, executive director, and fellow board members, each member’s role is to support and sustain the work of Project Yoga. Board members are the fiduciaries who steer the organization towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as by making sure Project Yoga has adequate resources to advance its mission.
PositionAs an officer, the secretary will foster communication and diligence through proper management and utilization of important records such as meeting minutes and Project Yoga’s bylaws, and the Ohio Code of Regulations. They are responsible for keeping custody of all documents and other records of the corporation.

Requirements1. Support/define the mission, goals, policies, and programs of Project Yoga. 2. Serve actively on one or more current and/or future standing committees (governance, finance, development, curriculum) and regularly attend board meetings. 3. Serve as a “champion” of Project Yoga and connect people with charitable resources to the executive director and the finance committee. 4. Approve Project Yoga’s annual operating budget, audit reports, board-enacted policies, and material business decisions; being informed of, and meeting all, legal, ethical, and fiduciary responsibilities. 5. Ensure the financial sustainability of Project Yoga; understand the role in fiduciary matters. 6. Review outcomes and metrics created in any active strategic plan to evaluate its impact, and regularly measure performance and effectiveness using those metrics. 7. Understand that Project Yoga is a “hybrid” nonprofit organization; board member’s role is governance and implementation of part of the existing strategic plan in collaboration with executive director. 8. Actively participate in the board’s evaluation and strategic planning efforts. 9. Hire, establish compensation, evaluate, and terminate executive director. 10. Respect the board’s governance role and maintain confidentiality of the board’s proprietary information and executive sessions; honor potential conflict of interest scenarios by refraining from discussion. 11. Advance Project Yoga’s profile in the community through mutually beneficial collaborations and partnerships. 12. Advance the mission of Project Yoga through gifts of time, talent, and an annual financial contribution; access your sphere of influence on behalf of the people served/the mission.
Additional InfoIn collaboration with the executive director, the secretary of the board should be knowledgeable and/or perform the following functions to include, but not limited to:1. Serve on a future executive committee and/or current governance committee. 2. Attend all board meetings. 3. Knowledgeable of Project Yoga’s records and related materials. 4. Provide advice and resources to the board on relevant important topics at issue, e.g., governance matters being addressed at meetings or a bylaw amendment 5. Provide support in the board’s role in their fiduciary responsibility. 6. The secretary is responsible to ensure an adequate number of meetings are held per year, in accordance with the bylaws and Ohio Code of Regulations. 7. The secretary is also charged with recording minutes of meetings with official board votes, which are important documents for Project Yoga; meeting minutes can have vital legal significance in an IRS examination. Minutes to be reviewed by full board of directors. 8. As the custodian of the organization’s records, the secretary is responsible for maintaining accurate documentation and meeting legal requirements. 9. The secretary is responsible for reviewing and updating documents as necessary and ensuring all documents are safely stored and readily accessible for inspection by trustees and/or members.
