Board Member – Governance
Our board | The corporation's purpose shall be a Northern Kentucky and Greater Cincinnati theater collaborative, that through professional quality productions, arts instruction and developing community relationships, empowers students to achieve their artistic potential under the leadership of professionals. The number of board members shall be at least 3 and no more than 12. Directors shall be of adult age. Directors shall be residents in the states of Ohio, Kentucky or Indiana. Directors shall be, as much as is possible, representative of the diversity of the tristate region, including sex, age, ethnicity, religion, nationality, sexual orientation, socio-economic status, etc. and shall bring a diverse set of professional skills. Each director shall serve for a term of three years, with the option to serve an additional three year term (for a total of six years). Initially, one-third of the directors shall serve three year terms; one-third shall serve two year terms and one-third shall serve one year terms. Terms shall be established so that one-third of the directors may be elected each year, with the renewal option at the end of his/her respective term. A director who has been term-limited off the board may, after 1 year, be re-nominated to the board for a final three year term, for a maximum of 9 years. |

Position | We are actively looking for a candidate with previous governance or HR experience with a non-profit to serve in a newly created board position. The candidate for this position would aid the organization in creating strategic planning, re-evaluating best practices of the company, and offering a vision and a plan for long range growth. Ideally, this position would be filled by someone with legal experience, HR experience, or business consulting experience. A secondary strength would be previous experience with non-profit governance and/or arts administration. We would like the ideal candidate to be able to use and measure data in regards to the future planning and program implementation. No previous board experience is necessary. |

Requirements | Meetings of the board of directors shall be held at least four times each year, at a reasonable time and place designated by the president. The president may designate additional meeting dates. One-third of the board members then sitting may, by written request, schedule additional meetings. All board members agree to support the organization through an annual financial commitment of $1,000. This gift may be through direct contribution, soliciting outside contribution(s), securing sponsorship(s) and/or other third party support, in-kind, or any combination thereof for a total of the required amount annually. A director who has missed three or more consecutive meetings may be removed by a majority vote of the board members then sitting. A director may be removed for any reason by a vote of two-thirds of the members then sitting. |

On-boarding | Candidates for board positions may engage in a moonlighting period with the company in order to determine their interest and commitment level. Candidates for board positions shall be selected from among those nominated by the Governance Committee, which shall consist of three persons appointed by the President. A majority of members present may also nominate candidates for positions on the board of directors. Directors shall be elected by a majority vote of those members present. Once elected, board members may serve as members at large for several months before taking on a specific role or committee. During this time frame, board members have the chance to learn more about the intricacies of each position and the company before choosing an area of focus that best suits their individual strengths. |
