The function of the Board shall be to formulate policies and see to it that policies are implemented and that the objectives of the Corporation are achieved and the furtherance and usefulness of mental health are enhanced. The duties and powers of the Board of Directors shall include, but not be limited to, the following: (1) managing the affairs of the Corporation, (2) adopting rules, regulations and bylaws consistent with the purpose of the Corporation, (3) approving the annual budget, receiving and disbursing funds and accepting and disposing of property, (4) establishing the qualifications for and selecting an Executive Director as well as retaining the right to rescind the appointment of the Executive Director and establishing the salary of the Executive Director, (5) appointing the members of the professional staff, and (6) approving the organization, bylaws, rules and regulations of the professional staff and its departments and annually reviewing its bylaws. Formatted Board Requirements Board Requirements Directors shall include one member appointed by the Dearborn County Council and other members must reside in one of the five Indiana counties which the Corporation serves, namely Dearborn, Franklin, Ohio, Ripley and Switzerland County, and the directors shall represent a cross-section of the public generally in said counties. In addition to residing in one of the five counties, the members of the Board of Directors shall represent the residents of the catchment area, taking into account employment, age, sex, place of residence, race and other demographic characteristics of the catchment area. No more than one-half of the members of the governing body shall be providers of health care. The Board of Directors shall have at least one member from each of the counties in the catchment area and shall have no county with more than a majority of members on the Board unless that county has more than fifty percent (50%) of the population of the area for which the Center has received state mental health funds. Board members attend monthly evening meetings, except in December. Board members serve three-year terms beginning January 1 of the effective beginning year.
